SaleBuddy™ Terms of Service

These Terms of Service ("Terms") govern your access to and use of SaleBuddy™ (the "Service"), operated by Ridgeline Studio, LLC ("Ridgeline Studio," "we," "our," or "us").

By creating an account, accessing, or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, do not use the Service.

1. Eligibility

You must be at least 13 years old to use the Service.

By using the Service, you represent and warrant that:

  • You are at least 13 years old.
  • You have the legal capacity to enter into these Terms.
  • You will comply with all applicable laws and regulations.

The Service is intended for users located in the United States. Users who access the Service from outside the United States do so at their own initiative and are responsible for compliance with local laws.

2. Accounts

You may be required to create an account to access certain features of the Service.

You are responsible for:

  • Maintaining the confidentiality of your account credentials.
  • All activity that occurs under your account.
  • Promptly notifying us of any unauthorized access or security breach.

We reserve the right to suspend or terminate accounts that violate these Terms.

3. Description of the Service

SaleBuddy™ is software designed to help users organize and manage garage sales and similar events.

Features may include:

  • Sale creation and management
  • Seller tracking
  • Transaction tracking
  • Settlement calculations
  • Dashboard reporting
  • Venmo QR code generation
  • Co-host collaboration tools
  • Signage and content-generation tools
  • Other related features

Features may change, be modified, or be discontinued at any time.

4. Payments and Purchases

Certain features may require payment.

Any fees will be clearly disclosed before purchase.

Unless otherwise stated:

  • Purchases are one-time event purchases.
  • Purchases are not subscriptions.
  • Fees are non-refundable except where required by law.

We may use third-party payment processors to facilitate payments. We are not responsible for the practices, policies, or performance of third-party payment providers.

5. SaleBuddy™ Is Not a Payment Processor

SaleBuddy™ does not process, hold, transmit, or facilitate payments between users and customers.

The Service may display payment-related information, generate payment QR codes, or track payment methods entered by users. Any payment transaction occurs directly between the parties involved and any third-party payment platform used.

We are not responsible for:

  • Payment disputes
  • Failed payments
  • Chargebacks
  • Fraudulent transactions
  • Errors made when entering payment information

6. SaleBuddy™ Is Not Accounting Software

The Service provides informational tools and calculations intended to assist users in managing garage sales and similar events.

We do not guarantee the accuracy, completeness, or suitability of any calculations, reports, settlement recommendations, earnings summaries, or financial information generated by the Service.

Users are responsible for reviewing and verifying all information before relying on it.

7. User Content

You may submit, upload, create, or store content through the Service, including:

  • Sale information
  • Addresses
  • Seller information
  • Transaction data
  • Photos
  • Files
  • Signage assets
  • Generated content
  • Other materials

You retain ownership of your content.

You grant Ridgeline Studio a limited, non-exclusive license to host, store, process, transmit, and display your content solely for the purpose of operating and improving the Service.

You are responsible for ensuring you have the rights necessary to submit any content you upload.

8. Prohibited Uses

You agree not to:

  • Violate any law or regulation.
  • Access accounts that do not belong to you.
  • Attempt to interfere with the operation of the Service.
  • Reverse engineer or attempt to extract source code.
  • Upload malicious software or harmful content.
  • Use the Service to commit fraud or facilitate unlawful activity.

9. Intellectual Property

The Service, including its software, design, branding, content, trademarks, service marks, logos, trade dress, and underlying technology, is owned by Ridgeline Studio, LLC and protected by applicable intellectual property laws.

SaleBuddy™, the SaleBuddy™ logo, and related branding elements are trademarks or service marks of Ridgeline Studio, LLC. Nothing in these Terms grants any right to use such marks without prior written permission.

Except as expressly permitted by these Terms, you may not copy, distribute, modify, reverse engineer, or create derivative works from the Service.

10. Availability

We strive to keep the Service available, but we do not guarantee uninterrupted access.

The Service may be modified, suspended, interrupted, or discontinued at any time without liability.

11. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE."

TO THE MAXIMUM EXTENT PERMITTED BY LAW, RIDGELINE STUDIO DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not guarantee that:

  • The Service will be error-free.
  • The Service will always be available.
  • Information generated by the Service will be accurate.
  • Use of the Service will produce any particular result.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, RIDGELINE STUDIO, LLC AND ITS OWNERS, MEMBERS, EMPLOYEES, CONTRACTORS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES.

OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SERVICE SHALL NOT EXCEED THE AMOUNT PAID BY YOU TO RIDGELINE STUDIO DURING THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

13. Indemnification

You agree to defend, indemnify, and hold harmless Ridgeline Studio, LLC from and against any claims, damages, liabilities, costs, and expenses arising from:

  • Your use of the Service
  • Your content
  • Your violation of these Terms
  • Your violation of applicable law

14. Termination

You may stop using the Service at any time.

We may suspend or terminate access to the Service if:

  • You violate these Terms.
  • We believe continued access poses risk to the Service or other users.
  • We discontinue the Service.

15. Changes to These Terms

We may update these Terms from time to time.

If we make material changes, we may provide notice through the Service or by email.

Your continued use of the Service after updated Terms become effective constitutes acceptance of the revised Terms.

16. Governing Law

These Terms are governed by the laws of the State of Iowa, without regard to conflict-of-law principles.
